AGREEMENT TO OUR LEGAL TERMS
Welcome to Memberchip! These Terms & Conditions (“Terms”) constitute a legally binding agreement between you (“you”, “your”), whether personally or on behalf of an entity, and Memberchip, Inc. (“Company”, “Memberchip”, “we”, “us”, or “our”). These Terms govern your access to and use of our website, mobile applications, and any related products or services that reference or link to these Terms (collectively, the “Services”).
By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, YOU ARE PROHIBITED FROM USING THE SERVICES AND MUST DISCONTINUE USE IMMEDIATELY.
By using the Services, you also acknowledge that you have reviewed and agreed to our Privacy Policy , which explains how we collect, use, and share personal data.
These Terms apply to any use of the Services, including free and paid features. Supplemental terms, guidelines, or rules may apply to specific features of the Services. Any such supplemental terms are hereby incorporated into these Terms by reference. If there is a conflict, the supplemental terms will govern.
We reserve the right, at our sole discretion, to modify, update, or replace these Terms at any time. The "Last updated" date above will reflect changes. Your continued use of the Services after any modifications constitutes acceptance of the updated Terms.
1. SERVICES
1.1 General Description
Memberchip provides a platform, including its website, landing pages, and mobile
application (the “Services”) that enables users to connect with trainers, clubs,
studios, and other service providers (collectively, “Organizations”) offering classes,
training sessions, or events (collectively, "Offerings").
The Services are primarily designed for club owners and managers, providing tools to
efficiently manage their clubs, groups, events, and clients, and to sell membership
plans. Managers can create, organize, and promote events, manage memberships, and
facilitate client engagement through the platform. Clients gain access to Offerings via
a QR code provided by the club or manager, allowing them to track participation, check
in for events, and purchase memberships seamlessly.
The Services may also include additional features, tools, and content to facilitate scheduling, communication, and account management.
The Services are not a medical service, wellness treatment, or healthcare provider, and are not designed to comply with healthcare or industry-specific regulations (such as HIPAA, FISMA, GLBA, or similar).
1.2 Access, Availability, and Eligibility
Access to the Services is provided subject to these Terms. Memberchip may, at its sole discretion, change, suspend, or discontinue any feature, component, or function of the Services at any time. Users may not access the Services in jurisdictions where doing so would violate local law, and users are solely responsible for compliance with applicable laws in their location.
To use the Services, you must be at least 18 years old. Memberchip may restrict access based on geographic or other criteria. Access to Offerings is available only through a valid QR code provided by an authorized Organization; the Services do not provide a public search function to locate Organizations.
1.3 User-Generated Content and Organization Control
Memberchip does not control, endorse, or guarantee the content provided by Organizations, including event descriptions, schedules, or promotional material. Users are responsible for verifying any information with the applicable Organization before engaging with Offerings.
1.4 Non-Provider of Offerings and Third-Party Integrations
Memberchip does not provide the Offerings themselves and does not control the quality, safety, or legality of the services offered by Organizations. Users acknowledge that all Offerings are provided by third-party Organizations, and any claims regarding such Offerings must be directed to the applicable Organization.
The Services may integrate with third-party applications, tools, or platforms to enable features such as payments, communication, or content delivery (collectively, "Third-Party Services"). Memberchip does not control Third-Party Services and is not responsible for their availability, accuracy, functionality, or compliance with laws. Your use of Third-Party Services is at your own risk and may be subject to additional terms and conditions imposed by the third-party provider.
1.5 Payment Processing Disclaimer
Payment processing and subscription management may involve third-party payment providers. Memberchip is not responsible for errors, delays, or issues arising from such providers. Use of payment services is subject to the providers’ own terms and conditions, and users must comply with applicable rules and regulations when using these services.
2. THIRD-PARTY SERVICES AND CONTENT
The App may integrate or provide access to third-party services and content, including but not limited to payment processing (Stripe), hosting and data storage, analytics tools, push notification services, and social login providers (“Third-Party Services”). You acknowledge and agree that such Third-Party Services are operated by independent providers and are not under the control of Memberchip.
Your use of any Third-Party Services is subject to their own terms, conditions, and privacy policies. We strongly encourage you to review the applicable policies before using these services. Memberchip is not responsible for the accuracy, availability, functionality, or security of any Third-Party Services, nor do we endorse, assume liability for, or make any guarantees regarding them.
The App may also contain links to external websites or resources. You acknowledge and agree that Memberchip is not responsible for examining or evaluating the content, availability, or practices of any such third-party websites. Accessing external sites is done at your own risk, and Memberchip shall have no liability arising from your interaction with or reliance on any third-party content.
Memberchip does not integrate with or rely on any third-party systems or tools used by Organizations. All Offerings and related content accessible within the App originate solely from authorized Organizations and not from any external third-party systems.
3. INTELLECTUAL PROPERTY RIGHTS
3.1. Our Intellectual Property
All proprietary rights concerning the Memberchip platform, including the mobile applications (iOS/Android), website, landing pages, source code, underlying software, databases, functional interfaces, graphics, design, text, and all associated materials (collectively, the "Memberchip IP"), are owned exclusively by Memberchip or our licensors. This includes all trademarks, service marks, logos (the "Marks"), and all derived or aggregated data that is processed or generated by the Services.
Memberchip IP is protected globally by copyright, trademark, and other intellectual property laws. We reserve all rights in and to the Memberchip IP not expressly granted to you under these Terms.
3.2. Limited License to You
Upon accepting these Terms, we grant you a personal, revocable, non-exclusive, non-transferable, non-sublicensable license to:
- Access the Services and use them solely for your personal, non-commercial use (if you are an End User/Client); or
- Access the Services and use them solely for your internal business purposes (if you are a Club Manager or Owner).
Any unauthorized use of the Services, including any attempt to reproduce, copy, decompile, or misuse the Memberchip IP, constitutes a material breach of these Terms, as further elaborated in PROHIBITED ACTIVITIES.
3.3. User Content and License Grant to Us
A. Retention of Rights . You retain all intellectual property rights to the content you upload to Memberchip, including club logos, descriptions, social media links, avatar photos, and event information ("User Content").
B. Your Responsibility. You confirm and warrant that your User Content is original to you, or that you possess all necessary licenses and permissions to grant us the rights described below, and that it does not infringe upon any third-party rights.
C. License Granted to Memberchip. To allow us to operate the platform effectively, you grant Memberchip a non-exclusive, worldwide, royalty-free, perpetual, transferable right, with the right to sublicense, to host, store, use, display, reproduce, modify (for technical purposes like resizing and formatting), and distribute your User Content solely for the purpose of providing and promoting the Services. This license is necessary to display your club's logo to clients, share event details, and process your data within the application.
3.4. License Grant for Marks and Feedback
You agree that any suggestions, ideas, enhancement requests, or other feedback provided by you regarding the Services ("Feedback") shall be the sole property of Memberchip. You hereby irrevocably assign to us all intellectual property rights in and to all Feedback, and we shall be entitled to its unrestricted use and dissemination without acknowledgment or compensation to you.
Furthermore, you grant us a worldwide, royalty-free license to use any club name, logo, or trademark you upload to the Services solely for marketing and promotional activities related to Memberchip, alongside our provision of the Services.
4. USER CONDUCT AND REQUIREMENTS
4.1. Account Obligations and Security
To utilize the full functionalities of the Services, including creating a club or purchasing membership plans, you must register for an account. You represent and warrant that all registration information you provide is truthful, accurate, current, and complete. You agree to promptly update your registration data. You are solely responsible for maintaining the confidentiality of your password and account login details. You agree not to share your credentials with any third party.
If you provide any information that is untrue, inaccurate, not current, or incomplete, or if you violate these Terms, Memberchip has the right to suspend or terminate your account (as detailed in TERM, TERMINATION AND SUSPENTION).
4.2. Club Manager Responsibility for Affiliates and End Users
If you are a Club Manager or Owner, you are responsible for all activity occurring under or relating to your club's account, including the actions of your staff, employees, contractors, and End Users (clients) who access the platform via your club's QR code or link.
You must ensure that your End Users comply with these Terms and any applicable laws (including data privacy laws).
You are solely responsible for ensuring you have obtained the requisite level of consent necessary from your End Users when utilizing the Services (e.g., automated marketing, data processing) in accordance with applicable data privacy laws.
4.3. Data Requirements
You bear the sole responsibility for the accuracy and quality of Your Data (including
any club information or End User data) and for ensuring that your collection and use of
Your Data complies with all applicable laws.
Although Memberchip may perform regular data backups, you are solely responsible for
retaining and backing up all data that you transmit to the Services.
4.4. Prohibited Submissions and Use
You agree not to submit any User Content (logos, descriptions, etc.) that is infringing, obscene, defamatory, threatening, tortious, or otherwise unlawful, including material that violates privacy rights.
You agree that you will not access the Services through automated or non-human means, such as bots, spiders, or scripts, to retrieve, index, 'scrape,' or otherwise gather Services content. Detailed prohibitions on use are listed in PROHIBITED ACTIVITIES.
4.5. Communications and Notifications
By creating an account, you consent to receive communications from Memberchip and/or the Club(s) you are affiliated with or join, including:
- Service Messages: Emails, SMS messages, and push notifications related to the operation and functionality of the Services (e.g., payment alerts, booking confirmations).
- Marketing: Promotional communications, subject to your explicit opt-out preferences.
You acknowledge that push notifications are an integral part of the service delivery and agree that Memberchip may use third-party services to facilitate these communications.
5. PAYMENTS
5.1. Memberchip Fees and Right to Charge in the Future
Currently, access to the core Services for Club Managers/Owners is provided free of charge, unless otherwise agreed.
Memberchip reserves the right, at its sole discretion, to introduce fees for the use of the Services or convert any current free service into a paid subscription service. Any such change will be communicated to you with appropriate notice, and your continued use of the Services after such notice will constitute your agreement to the new fees.
You remain responsible for paying any commissions or processing fees associated with transactions facilitated through the Services, as defined in a separate agreement between you and Memberchip or the payment processor.
5.2. Pricing, Cancellations, and Refunds
This section applies to the sale of memberships, events, and other offerings by the Club to its End Users (Clients) through the Services.
The Club (Manager/Owner) acts as the sole merchant of record and seller of all Offerings, memberships, and events sold to its End Users via the Services. Memberchip is solely a technology service provider that facilitates the connection and payment processing.
The Club is solely responsible for setting, communicating, and enforcing its own pricing, cancellation policies, and refund policies for all memberships and services offered. Memberchip is not responsible for issuing refunds, managing cancellations, or resolving disputes related to the Club's Offerings or pricing. All such requests must be handled directly between the Club and the End User. The Club is responsible for applying and enforcing any penalties or fees (e.g., late cancellation fees, no-show fees) to its End Users, as established in the Club’s own rules.
5.3. Third-Party Processing and Compliance
Memberchip uses Stripe or other third-party payment processors to handle all monetary transactions. You acknowledge and agree that transactions are subject to the terms and conditions of the third-party processor. The Club is solely responsible for ensuring its compliance with the Payment Card Industry Data Security Standard (PCI DSS), and for complying with any fraud detection and anti-money laundering regulations related to its sales.
Taxes: You (Club Manager/Owner) are responsible for calculating, collecting, reporting, and remitting all applicable taxes (e.g., sales, use, VAT, or GST) arising from your sale of memberships and services through the platform. Memberchip will be solely responsible for taxes assessed on Memberchip based on its income.
6. PROHIBITED ACTIVITIES
The Services are provided for your internal business purposes or personal use as specified in these Terms. You are strictly prohibited from using the Services for any external commercial activity, unauthorized resale, or any purpose other than their intended functionality.
As a user of the Services, you agree not to:
- Use the Services for any illegal purpose or in violation of any applicable local, state, national, or international law or regulation.
- Act in a deceptive, fraudulent, or malicious manner, including impersonating another person or entity.
- Attempt to trick, defraud, or mislead Memberchip or other users, especially to obtain sensitive account information such as passwords.
- Make any unauthorized use of the Services, including collecting usernames, email addresses, or other data by electronic or other means for the purpose of sending unsolicited email (spamming) or creating user accounts under false pretenses.
- Harass, threaten, stalk, disrupt, abuse, annoy, intimidate, or harm other users, club members, or Memberchip employees or agents, or otherwise contribute to an unsafe or disruptive environment.
- Share Memberchip account passwords or permit anyone to use any Offerings or services booked under your own membership, unless explicitly authorized by the Club or Memberchip.
- Reproduce, modify, prepare derivative works based upon, distribute, license, lease, sell, resell, transfer, publicly display, publicly perform, transmit, stream, broadcast, use for commercial purposes or otherwise exploit any portion of the Services or Memberchip IP.
- Decipher, de-compile, disassemble, or reverse engineer any of the software or source code comprising or in any way making up a part of the Services, except as permitted by applicable law.
- Circumvent, disable, or otherwise interfere with security-related features of the Services, including features that prevent or restrict the use or copying of any Content.
- Upload or transmit (or attempt to upload or transmit) any viruses, Trojan horses, worms, time bombs, or other harmful computer code or material that interferes with the uninterrupted use of the Services.
- Interfere with, disrupt, or create an undue burden on the Services or the networks or services connected to the Services.
- Systematically retrieve data or other Content from the Services to create or compile, directly or indirectly, a collection, compilation, database, or directory without express written permission from Memberchip.
- Access or use the Services or any data derived from them (i) to monitor, benchmark, or evaluate the Services for any competitive or comparative purpose, or (ii) to create, train, test, or improve any machine learning, large language, generative, or other artificial intelligence models, or for any other revenue-generating endeavor that competes with Memberchip.
- Delete, remove, or alter the copyright, trademark, or other proprietary rights notices from any Content.
- If you are a Client, reserve or cancel any Offering or event only through the Services and not directly with the Club, unless the Club instructs otherwise.
- Attempt to bypass any measures of the Services designed to prevent or restrict access to the Services, or any portion of the Services.
- Use any robot, spider, scraper, or other automated means to access the Services for any purpose without our express written permission.
7. TERM, TERMINATION AND SUSPENTION
The validity of these Legal Terms commences when you first access the Services or create an account, and they remain in full force while you continue to use Memberchip. For Club Managers or Owners, the term of this agreement continues indefinitely until officially terminated by either party in line with this section.
MEMBERCHIP RETAINS THE UNILATERAL RIGHT, AT ITS SOLE DISCRETION AND WITHOUT ANY LIABILITY, TO IMMEDIATELY SUSPEND OR TERMINATE YOUR ACCESS TO THE SERVICES (including the disabling of your account or blocking access from specific IP addresses) if we determine, for any reason, that you have violated these Terms, engaged in unlawful conduct, or acted in a manner detrimental to the platform or other users. If your account is terminated due to your breach or violation of these Terms, you forfeit any claim to a refund of any fees or charges paid (if applicable), and you remain obligated to settle any outstanding amounts due to Memberchip prior to the termination date. Furthermore, any user whose account has been terminated due to a breach is strictly prohibited from attempting to access or register a new account using a different name, alias, or identity.
Upon the termination or expiry of this agreement, you must immediately cease all use of the Services. For Clubs, Memberchip will endeavor to make your data (excluding sensitive Cardholder Data) available for download or export for a limited period, not exceeding thirty (30) days from the termination date. After this specified 30-day window, Memberchip assumes no obligation to retain or furnish your data, and we may delete or anonymize all associated records, except where mandatory legal retention requirements apply. All provisions intended to survive termination, including those related to Intellectual Property Rights, Payments (for accrued liabilities), Prohibited Activities, Governing Law, Dispute Resolution, Disclaimers, Limitation of Liability, and Contact Information, shall remain fully effective.
8. GOVERNING LAW
These Legal Terms, your utilization of the Services, and any disputes or claims (whether contractual or otherwise) arising from this relationship shall be governed by and construed in accordance with the internal substantive laws of the State of Delaware, without giving effect to any principles of conflicts of law that would require the application of the laws of a different jurisdiction. This choice of law applies regardless of your physical location, the place where your Club operates, or the location from which you access Memberchip. Furthermore, the application of the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act (UCITA) is expressly excluded from these Terms.
9. DISPUTE RESOLUTION
To ensure expedient and cost-effective resolution of any dispute, controversy, or claim ("Dispute") arising from or related to these Legal Terms or your use of the Services, you and Memberchip agree to the following procedure. Before initiating any formal action, the Parties must first attempt to resolve the Dispute through mandatory informal negotiations for a minimum period of thirty (30) days from the date the complaining Party sends a written notice of the Dispute to the other Party (addressed to Memberchip's contact information in CONTACT INFORMATION). If the Dispute remains unresolved after this 30-day period, the Parties agree that the matter will be settled exclusively by final and binding arbitration. The arbitration shall be conducted by a single, neutral arbitrator in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA) and shall take place in Wilmington, Delaware, or via video conference. The arbitrator's decision shall be final and binding, and judgment may be entered upon it in any court of competent jurisdiction. You and Memberchip expressly waive any right to bring or participate in any class action, class arbitration, or representative action, agreeing that proceedings will be limited solely to the individual Dispute between you and Memberchip. This arbitration requirement does not apply to: (a) claims seeking immediate injunctive relief (such as protection of intellectual property); (b) claims related to theft or unauthorized use of the Services; or (c) any claim for non-payment of fees due to Memberchip. Furthermore, any claim or Dispute must be commenced within one (1) year after the cause of action arises, or it will be permanently barred.
10. DISCLAIMERS
YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. ALL ASPECTS OF THE SERVICES, INCLUDING THE MOBILE APPLICATIONS, WEBSITE, CONTENT, AND ALL THIRD-PARTY OFFERINGS DISPLAYED OR LINKED THROUGH MEMBERCHIP, ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
MEMBERCHIP INC., ON BEHALF OF ITSELF, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS (COLLECTIVELY, THE "MEMBERCHIP PARTIES"), EXPRESSLY DISCLAIMS AND EXCLUDES ALL WARRANTIES, WHETHER STATUTORY, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT OF PROPRIETARY RIGHTS.
THE MEMBERCHIP PARTIES MAKE NO GUARANTEES OR REPRESENTATIONS THAT:
- THE SERVICES WILL BE SECURE, TIMELY, ERROR-FREE, UNINTERRUPTED, OR FREE FROM VIRUSES, BUGS, OR OTHER HARMFUL COMPONENTS.
- THE CONTENT, INCLUDING CLUB DESCRIPTIONS, SCHEDULES, PRICING, NUTRITIONAL INFORMATION, OR OTHER DATA UPLOADED BY CLUBS, IS ACCURATE, COMPLETE, RELIABLE, OR ERROR-FREE.
- THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS.
MEMBERCHIP IS NOT A HEALTH CARE PROVIDER, A GYM, OR A RETAILER OF CLUB SERVICES. WE ARE SOLELY A TECHNOLOGY PLATFORM.
- THIRD-PARTY LIABILITY: THE MEMBERCHIP PARTIES DISCLAIM ANY AND ALL LIABILITY FOR ANY ACT, ERROR, OR OMISSION BY ANY THIRD PARTY, INCLUDING CLUBS/OWNERS, OTHER USERS, OR PAYMENT PROCESSORS (STRIPE).
- RISK OF INJURY: WE ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY PERSONAL INJURY, PROPERTY DAMAGE, OR OTHER LOSSES RESULTING FROM YOUR ATTENDANCE AT, PARTICIPATION IN, OR USE OF ANY OFFERING OR SERVICE PROVIDED BY A CLUB LISTED ON OUR PLATFORM.
ANY RELIANCE ON INFORMATION ACCESSIBLE THROUGH THE SERVICES IS SOLELY AT YOUR OWN RISK. YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGES TO YOUR COMPUTER SYSTEM OR LOSS OF DATA RESULTING FROM THE USE OF THE SERVICES.
11. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MEMBERCHIP INC. OR THE MEMBERCHIP PARTIES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF USE, LOSS OF DATA OR OPPORTUNITIES, OR COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY (WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, OR OTHERWISE), ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE SERVICES OR THIRD-PARTY OFFERINGS, EVEN IF MEMBERCHIP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Memberchip expressly disclaims all liability and will not be held responsible for any losses or damages caused, or alleged to be caused, by the transmission of Cardholder Data prior to its secure encryption and transfer to our third-party payment processor, including damages resulting from fraud, embezzlement, theft, or identity theft related to such data.
IN NO EVENT SHALL THE MEMBERCHIP PARTIES’ AGGREGATE CUMULATIVE LIABILITY, COLLECTIVELY, FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE LEGAL TERMS OR THE SERVICES, EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100.00 USD) OR (B) THE SUBSCRIPTION FEES (IF APPLICABLE) ACTUALLY PAID BY YOU TO MEMBERCHIP DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE DATE THE CLAIM FIRST AROSE. The foregoing exclusions and limitations will apply to the maximum extent permitted by applicable law and apply with respect to both Memberchip Inc. and the Memberchip Parties.
12. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Memberchip Inc., the Memberchip Parties, and their respective officers, directors, employees, and agents from and against any and all third-party claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with: (1) any actual or alleged breach by you, your staff, or your End Users of any provision of these Terms. (2) your access to or use of the Services, including any Offerings or memberships sold by your Club. (3) any actual or alleged violation by you or your End Users of the intellectual property, privacy, or other rights of a third party (e.g., uploading copyrighted material, unauthorized use of personal data). (4) any dispute between you and another party (including any Client or End User) regarding the ownership, access, or use of Your Data.
Memberchip reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of those claims.
13. DEFINITIONS
For the purposes of these Terms and Conditions, the following capitalized terms shall have the meanings set forth below:
- "Agreement" or "Terms" means these Terms and Conditions, the Privacy Policy, and any supplemental terms, guidelines, or rules incorporated herein by reference.
- "Club Manager" or "Owner" means an individual or entity using the Services to create, manage, and operate an Organization , including managing schedules, clients, and membership sales.
- "Client" or "End User" means any individual who gains access to the Services, Offerings, or an Organization's events, typically via a QR code provided by the Organization, or who purchases an Offering through the Services.
- "Content" means the text, graphics, images, software, source code, and all other materials and features contained within the Services.
- "Dispute" means any controversy or claim arising out of or relating to these Terms, the Services, or the relationship between the Parties.
- "Feedback" means any suggestions, ideas, enhancement requests, recommendations, proposals, corrections, or other information provided by you relating to the Services.
- "Marks" means the trademarks, service marks, logos, and trade names associated with the Services.
- "Memberchip IP" means all proprietary rights concerning the Memberchip platform, including the mobile applications, website, source code, databases, and all associated materials, owned exclusively by Memberchip Inc. or its licensors.
- "Offerings" means the classes, training sessions, events, memberships, or services provided by an Organization and made available to Clients through the Services.
- "Organization" or "Club" means any trainer, club, studio, or service provider that uses the Services to manage and offer services to clients.
- "Party" or "Parties" means, individually, Memberchip Inc. or you, and collectively, Memberchip Inc. and you.
- "Services" means the website, mobile applications, and any related products or services that reference or link to these Terms.
- "Third-Party Services" means applications, tools, or platforms integrated into the Services to enable specific features, including payment processing (Stripe), analytics, and push notifications.
- "User Content" means any data, information, logos, club descriptions, schedule details, avatar photos, social media links, or other materials that you, as a Club Manager or Client , upload, post, or transmit through the Services.
